The seller wants to realize the fruits of their labor from years of growing their business by getting the best price and most favorable terms when selling their company.
In order for the seller to negotiate from a position of strength, they need to look at the business through the eyes of a buyer and be able to answer the questions typically asked, possibly fortify the top management team, and be ready to discuss how the business can grow into the future. By providing this information, the risk to the buyer is lowered, and as we all know, lowering the risk raises the price.

Terry Fick , Managing Director, Corporate Finance Associates
Terry has 30 years experience and over 100 closed transactions to his credit. Terry has been honored by CFA as National Dealmaker of the Year four times and Office of the year four times. He has also been named Deal Maker of the year by the Dallas Business Journal and ACG.
Since CFA represents both buyers and sellers on different assignments, and often raises capital for his clients, he has a broad perspective. Terry is the past President and current Board member of the Dallas Chapter of the Association for Corporate Growth (ACG), the 10,000 member international association for corporate acquisition officers and private equity professionals. He has a BBA from the University of Alabama, holds the series 63 and 79 FINRA Securities licenses.
Ryan Bosworth, Director of Transaction Advisory Services, RSM US
Ryan has worked in transaction advisory services for nearly a decade – he focuses on buy-side and sell-side transaction services, works with private equity firms and assists strategic buyers with acquisitions. Ryan has successfully completed due diligence on more than 100 companies, with a focus on health care and manufacturing, and transaction sizes ranging from $1 million to $200 million.
Prior to joining RSM, Ryan worked in the assurance group at a Big Four firm, providing audit services to public and private clients in a variety of industries.
Ryan holds a Bachelors of Accounting and a Masters of Accounting degrees from the University of Missouri, Columbia.
Brian Steinbrueck, Partner, Wingate
Brian joined Dallas-based private equity firm Wingate in 2008 and is currently on the board of directors of Binswanger Glass and Nekoosa Coated Products. Both are Wingate Portfolio companies.
Prior to joining Wingate, Brian was a Senior Associate with McKinsey & Company where he worked across a variety of industries focusing on corporate strategy and operational improvement. Previously, he was a High Yield research associate with AIG Global Investment Group and, prior to that, an analyst at Enron Corp.
Brian has an undergraduate degree from Vanderbilt University and an MBA with Distinction from the Kellogg School of Management at Northwestern University.
